1. Introduction

Welcome to Ubuntucare ("Ubuntucare", "we", "us", or "our"). Ubuntucare is a digital health platform operating across multiple countries, designed to facilitate access to healthcare services and administer health insurance and care packages, particularly for rural and underserved communities. By accessing or using the Ubuntucare website, mobile application, or any related services (collectively, the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you must discontinue use of the Platform immediately.

2. Nature of the Platform

Ubuntucare operates as:

  • A health insurance administrator (HMO), and
  • A healthcare facilitation and aggregation platform

Ubuntucare does not provide medical or clinical care. All healthcare services are delivered by independent, licensed healthcare providers who are registered on the Platform.

3. Eligibility

To access or use the Platform, you must:

  • Be legally capable of entering into a binding agreement
  • Provide accurate, complete, and up-to-date information
  • Comply with all applicable laws, regulations, and professional standards

Ubuntucare reserves the right to deny, suspend, or terminate access where eligibility requirements are not met.

4. Beneficiaries and Subscriptions

  • Access to healthcare services is subject to active subscription to an available healthcare package.
  • Subscription benefits, visit limits, provider categories, and monetary caps vary based on the selected package.
  • All subscriptions are non-refundable, unless otherwise required by law.
  • Failure to maintain sufficient wallet balance may result in non-renewal of subscriptions and interruption of services.

5. Wallet and Payments

  • All payments on the Platform are processed through the Ubuntucare Wallet.
  • Wallets operate as pass-through wallets via licensed financial institutions and payment service providers.
  • Ubuntucare does not directly hold or store customer funds.
  • Users are solely responsible for ensuring their wallets are adequately funded to access services.

6. Healthcare Providers

Healthcare providers on the Platform may include, but are not limited to:

  • Doctors
  • Nurses
  • Hospitals and clinics
  • Pharmacies and chemist stores
  • Laboratories and diagnostic centers
  • Ambulance and emergency service providers

All providers:

  • Are verified prior to onboarding
  • Must maintain valid professional licenses and certifications
  • Are independently responsible for the services they provide

Teleconsultations, where available, are optional and subject to provider availability.

7. Medical Responsibility

  • All medical and healthcare services are provided exclusively by registered healthcare providers.
  • Providers bear full professional, clinical, and medical liability for services rendered.
  • Ubuntucare does not make medical decisions, prescribe treatment, or influence clinical outcomes, and shall not be liable for medical malpractice or treatment results.

8. Emergency Services

Ubuntucare may facilitate access to emergency services, including ambulance dispatch. However:

  • Response times are not guaranteed
  • Ubuntucare is not liable for delays, availability issues, or outcomes beyond its reasonable control

9. User Conduct

Users agree not to:

  • Share accounts or login credentials
  • Engage in fraud, abuse, or misuse of the Platform
  • Provide false, misleading, or incomplete information

Violation of these rules may result in account suspension or termination.

10. Fraud, Suspension, and Termination

Ubuntucare reserves the right, at its sole discretion, to:

  • Freeze wallets
  • Suspend or terminate accounts
  • Restrict access to the Platform

where fraud, abuse, security risks, regulatory concerns, or legal violations are suspected, with or without prior notice.

11. Intellectual Property

All content, software, trademarks, logos, designs, and intellectual property available on the Platform are owned by Ubuntucare or its licensors. Unauthorized use, reproduction, or distribution is strictly prohibited.

12. Limitation of Liability

To the fullest extent permitted by applicable law, Ubuntucare shall not be liable for:

  • Medical malpractice or clinical outcomes
  • Acts or omissions of independent healthcare providers
  • Service interruptions, system failures, or events beyond its control
  • Any indirect, incidental, special, or consequential damages

13. Dispute Resolution

Any disputes arising from use of the Platform shall be resolved through:

  • Internal customer support processes
  • Arbitration where applicable
  • Courts of competent jurisdiction

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria.

15. Changes to These Terms

Ubuntucare may update these Terms periodically. Continued use of the Platform after updates constitutes acceptance of the revised Terms.
